Terms of Service
These Terms of Service (ToS) contain the terms and conditions for using the ZeroCRM system (hereinafter: ZeroCRM) available as an online rental service from Zero Software Ltd.
The ZeroCRM System Operator, hereinafter "Service Provider":
- Company short name: ZERO Software Ltd.
- Company name: ZERO Software Limited Liability Company
- Company address: 1173 Budapest, Pesti út 474., Hungary
- Company registration number: 01 09 411511
- Tax number: 32197358-2-42

- Email: [email protected]
- Server provider: OVH Hosting Limited (38/39 Fitzwilliam Square West Dublin 2 D02 NX53, Ireland)
The contract between the Service Provider and the Subscriber may be established in the following ways:
- By the Subscriber's truthful demo access registration on the Service Provider's website – except in case of rejection – acceptance of the ToS establishes the contract.
- By the Subscriber's subscription from the free demo to any service package – acceptance of the ToS establishes the contract.
The contract between the Parties (ToS) in Hungarian language qualifies as a written contract, which is recorded by ZeroCRM and made accessible to the User.
ZeroCRM reserves the right to unilaterally modify the ToS. ZeroCRM informs Users about ToS modifications in the form of a brief notice. The notice may be contained in the online CRM System interface, in newsletters sent by ZeroCRM, or in notifications sent to Users' provided email addresses. ZeroCRM ensures that the current text of these ToS is continuously accessible and retrievable for all Users at https://zerocrm.hu/terms. The modification shall be deemed accepted if the User continues to use the service after the modification takes effect.
The Subscriber is entitled to terminate the contract if the unilateral modification results in unfavorable conditions. In this case, the service can be used until the end of the subscription period under the previous conditions, and the Subscriber is not obliged to accept the modified conditions.
1. Registration and Access Request
1.1. Business-Only Service (B2B)
The ZeroCRM service is available exclusively to business organizations and sole proprietors. Consumers as defined in Section 8:1 § (1) point 3 of Act V of 2013 on the Civil Code (Ptk.) – meaning natural persons acting outside the scope of their profession, self-employment, or business activity – may not use the service.
The services of the CRM System (System) operated by ZeroCRM as an online rental service are available exclusively to the following legal entities (hereinafter collectively: User):
- Business companies registered in Hungary (Ltd., LP, PLC, etc.),
- Sole proprietors (persons registered in the sole proprietorship register pursuant to Act CXV of 2009),
- Individual enterprises,
- Hungarian branch offices of foreign-based companies,
- Other legal entities conducting economic activities.
Registration requires providing a valid tax number or company registration number. ZeroCRM is entitled to verify the authenticity of the provided tax number/company registration number in the public databases of the Hungarian Tax Authority (NAV) and the Court of Registration, and may refuse registration if verification is unsuccessful.
1.2. Exclusion of Consumer Rights
Given that the ZeroCRM service is available exclusively under business-to-business (B2B) contracts:
- Not applicable are the provisions of Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses, including in particular the 14-day right of withdrawal/termination without justification;
- Not applicable are the provisions of Act CLV of 1997 on Consumer Protection;
- Not applicable is the possibility of using conciliation body proceedings;
- Not applicable are other statutory benefits and protective provisions exclusively available to consumers.
By accepting these ToS, the User expressly acknowledges and accepts the above exclusions.
1.3. Registration Process
ZeroCRM may provide limited-time test access to the system for all interested businesses – following prior registration and provision of tax number. The purpose of the test period is to allow the User to try out the basic operation of the ZeroCRM system.
By registering, the User acknowledges and warrants that:
- They are acting on behalf of and representing a business company, sole proprietor, or other legal entity conducting economic activity,
- The provided tax number/company registration number is valid, and the registrant is authorized to represent the organization,
- They are using the service exclusively in the course of their economic/business activity, for business purposes,
- They do not qualify as a consumer under Section 8:1 § (1) point 3 of the Civil Code (Ptk.),
- And in all cases, they register on their own behalf or on behalf of the economic organization they represent, providing true data and contact information.
The User may not use ZeroCRM to support a business that conducts illegal activities or other activities that are unlawful, or that harm ZeroCRM's good reputation or legitimate business interests.
During registration, the User is obliged to provide true data related to them.
If ZeroCRM becomes aware that the data provided by the User contains (also) untrue elements, it is entitled to reject the registration, or to partially or completely restrict their access, or to exclude the User from using the ZeroCRM service.
2. Subscription Fee
The ZeroCRM System is an online, rental collaboration support service. Each separate economic unit uses its own ZeroCRM System, operating separately from other economic units, recording its own data.
2.1. ZeroCRM Subscription Fee Payment Method
The contract is established by accepting these ToS and making the first payment for the given month based on these ToS.
Subsequently, the User pays the subscription fee in advance to ZeroCRM. The User can make their payment via card payment.
The subscription fee is automatically charged every 30 days from the date of the first successful payment. The renewal date is aligned with the user's individual subscription cycle.
Card Payment (Barion)
Payment Service Provider:
The User can choose card payment method. Card payment is processed through Barion Payment Zrt. (https://www.barion.com/en/).
Data Processing:
To complete the payment transaction, ZeroCRM transfers the User's name and the financial email address provided during registration to Barion. ZeroCRM does not handle or store complete bank card data. The handling, storage, and processing of bank card data is performed by Barion Payment Zrt. according to relevant laws and security regulations. The Service Provider only has access to and stores non-sensitive card data details necessary for transaction identification (card expiration date, card issuer name, last four digits of card number).
Automatic Charging:
The Service Provider applies individual payment cycles aligned with the first payment date for each subscriber. In case of card payment, the system automatically charges the User's bank card on the due date using the token provided by Barion with the subscription period fee. Following successful charging, ZeroCRM issues an electronic invoice (e-invoice) pursuant to the VAT Act, which the User receives at their registered email address.
Payment Obligation:
The payment obligation exists based on ToS provisions; issuing a payment request is not a condition for lawful payment.
Payment Delay
- In case of payment failure (unsuccessful card charge), the User has a 14 calendar day grace period to complete payment.
- If this deadline passes unsuccessfully, ZeroCRM is entitled to partially or completely restrict the service, which may involve limiting or terminating login to the system.
- During the restriction period, the User's data continues to be stored in the backend system, and the automations and backups provided by the system continue to operate unchanged.
The regular subscription fee of the online rental CRM System includes the continuous operation of the software as detailed later, and also includes the creation of daily backups and their storage in a location independent from the server. The regular gross subscription fee depends on the number of users. Active Users are those who have the possibility (authorization) to log into the ZeroCRM System. Only one real person can log into the ZeroCRM System with one user. Separate persons need separate users (access rights). During service operation, ZeroCRM can ensure prices under normal, intended use conditions. Normal, intended use should be understood as, among other things, the use of an average maximum of 10 GB document storage space and 500 MB active database space per User.
The subscription fee includes the mandatory general turnover tax and mandatory charges.
The subscription fee includes managing the number of clients specified in the package, daily backups, unlimited logins to the System, guaranteed customer service response within 2 working days, 7/24 technical and security operation of the System, and continuous developments.
The ZeroCRM subscription fee is calculated based on access authorization – possibility – regardless of actual daily login. ZeroCRM reserves the right to partially or completely restrict (suspend) the service in case of delayed payment, applying a 14 calendar day grace period. ZeroCRM subscription fees are payable even during the suspension period due to payment delay (During the suspension period, ZeroCRM ensures storage of data in the ZeroCRM system for the user, security backups, and the operation of automations and forms set by the user).
By accepting the ToS, the User expressly consents to ZeroCRM collecting the regular subscription fee – depending on the chosen payment method – by automatic card charge. Consent is given simultaneously with the first successful card transaction and remains valid as long as the contractual relationship exists or until the User expressly revokes it.
The regular subscription automatically extends every month through automatic payment due at the end of the given month. The User acknowledges that automatic renewal occurs to ensure service continuity.
2.2. How Subscription Works, Charges, and Package Changes
2.2.1. Why Charges Occur
Under the subscription structure, the User acquires entitlement for a defined period (monthly or annual billing cycle) to use the features included in the selected subscription package. Charges occur because the User is obliged to pay a subscription fee for using the service. The amount of the fee is determined by the selected package, the billing cycle (monthly/annual), and the number of active users.
2.2.2. The First Payment (Switching from Trial to Paid)
If the User starts using ZeroCRM during a trial period ("demo access" or "trial"), the service is free during the trial period, although ZeroCRM reserves the right to restrict certain features during the trial period.
Before or at the end of the trial period, the User can choose a paid subscription package and billing cycle (monthly or annual). The first charge occurs when the User approves the switch to paid subscription, initiates card payment, and the transaction successfully completes through the Barion system.
After the first successful payment:
- The paid subscription is established,
- The selected billing cycle (monthly/annual) is set,
- The next billing date (renewal date) is recorded,
- An electronic invoice (e-invoice) is issued for the payment by ZeroCRM or its billing partner in accordance with Hungarian VAT Act (Act CXXVII of 2007).
Consent to Electronic Invoice: By accepting these ToS, the User expressly consents to ZeroCRM or its billing partner issuing and sending electronic invoices (e-invoices) to the email address provided during registration. The User acknowledges that the electronic invoice becomes legally issued upon acceptance by the recipient pursuant to Section 175(3) of the VAT Act.
2.2.3. How Recurring Payments Work
If the User provides their bank card details and consents to recurring payments, the subscription automatically renews according to the selected billing cycle (monthly or annual). ZeroCRM automatically attempts to charge the bank card at the beginning of the billing period with the current subscription fee using the token provided by Barion.
In case of annual subscription, ZeroCRM sends an email notification to the User 7 (seven) days before the renewal about the upcoming automatic renewal and the amount to be charged.
- In case of successful charge, the subscription remains continuously active, the billing period extends to the end of the next cycle, and an invoice is issued for the payment.
- In case of unsuccessful charge, ZeroCRM notifies the User (e.g., via email) and may make repeated charging attempt(s) or request updating payment details or providing another payment method.
- In case of persistent payment failure, ZeroCRM is entitled to suspend or terminate the subscription, which may result in restricting or terminating access to the system.
2.2.4. Switching Between Subscription Packages (Upgrade/Downgrade)
The User is entitled to modify their subscription package at any time in the following ways:
- Switching to a higher-level package (upgrade),
- Switching to a lower-level package (downgrade),
- Modifying the billing cycle (monthly ↔ annual).
Upgrading to a Higher Package
If the User switches to a higher package during a billing cycle, ZeroCRM may apply proration: the difference for the current period is calculated based on the already paid period and the new package fee. The system accordingly:
- May initiate a one-time supplementary charge for the remaining portion of the billing period, or
- May consider the difference as credit/deduction for later payments.
From the next billing cycle, the User will pay the full fee for the new, higher package.
Downgrading to a Lower Package
In case of downgrading to a lower package, the package change generally takes effect from the beginning of the next billing cycle. Refund for the already paid period generally does not occur, however ZeroCRM is entitled to provide a discount, credit, or deduction based on its own business policy.
Modifying Billing Cycle (Monthly/Annual)
- In case of monthly → annual switch, ZeroCRM determines the amount to be paid considering the remaining period and the new annual fee; it may request a one-time supplementary payment from the User if necessary.
- In case of annual → monthly switch, the change generally takes effect from the next billing cycle; proportional refund of the already paid annual fee generally does not occur, unless ZeroCRM expressly undertakes this.
2.2.5. Subscription Termination and Disabling Auto-Renewal
The User is entitled to disable auto-renewal at any time through the ZeroCRM interface (account/subscription settings). In this case, the subscription remains active until the end of the already paid billing period, after which no further charges occur and the subscription terminates.
In case of early termination of the subscription – if not attributable to ZeroCRM's serious breach of contract – proportional refund of already paid fees generally does not occur.
ZeroCRM is entitled to unilaterally suspend or terminate the subscription in cases specified in the ToS (e.g., persistent non-payment, unlawful use, suspicion of abuse). In such cases, ZeroCRM – in the absence of a separate agreement – is not obliged to refund already paid fees.
Only the User with Administrator Rights can grant access to other employees for individual ZeroCRM Systems. At the same time, the User with Administrator Rights accepts that the subscription fee for the service is calculated according to the above settings, meaning that from the date of activating a new User, the subscription fee is also payable for the new User. The User receives detailed information about the current subscription fee and subscription packages in ZeroCRM's offer, and in case of fixed package subscription (not a contract based on individual quotation), the User can manage the addition of new Users themselves.
ZeroCRM undertakes to preserve electronic invoices issued for the user. The Subscriber acknowledges and accepts that the Service Provider's automatic billing system issues electronic invoices based on current settings. Thus, from the date of activating a new user, the system also charges a fee for the added user, and in case of card payment, automatically deducts the amount.
Right to Modify Prices: ZeroCRM reserves the right to modify subscription fees and payment conditions, about which it informs the User at least 30 days in advance in all cases. Following the modification, using ZeroCRM, or in case of fee modification, payment of the modified fee signifies acceptance of the modification.
Automatic Inflation Adjustment: The User acknowledges and accepts that the Service Provider is entitled to automatically adjust subscription fees once a year, effective January 1st of each year, in accordance with the annual average consumer price index (inflation rate) published by the Hungarian Central Statistical Office (KSH) for the previous year. The inflation adjustment does not constitute a unilateral modification of the ToS and does not give rise to a termination right for the User. The Service Provider shall notify the User of the inflation adjustment and its rate at least 15 days before the adjustment takes effect.
2.2.6. Fees Related to User Invitations
Only the User with Administrator Rights can grant access to other employees for individual ZeroCRM Systems. The User with Administrator Rights is entitled to invite new Users to the System by sending invitation emails.
The invitation and activation of new Users occurs according to the conditions of the currently valid package, with a per-user subscription fee. The system considers invited Users and active sent invitations as active Users from the next payment cycle.
If invited Users are activated during an already ongoing billing period, ZeroCRM is entitled to charge a prorated (time-proportional) fee for the remaining period, which is calculated in connection with the existing subscription. The system accordingly:
- May initiate a one-time supplementary charge (e.g., card charge through the Barion payment service) for the prorated fee for invited Users, and/or
- May consider the fee for invited Users as credit/deduction for later payments, according to the current subscription structure.
The User – especially the User with Administrator Rights – acknowledges and accepts that the number of new Users they invite and activate directly affects the amount of the subscription fee. Accordingly, the invitation and activation of new User(s) – considering the currently selected package and billing cycle – may entail a payment obligation.
3. ZeroCRM's Obligations
Continuous Operation:
ZeroCRM provides the User with continuous operation of the rental online CRM system under the conditions specified in these ToS.
Liability for Damages:
If ZeroCRM causes damage to the User during service provision, liability exists if the User acted with expected diligence (for example: properly managed access authorizations, took action to mitigate damage in case of damage occurrence). In such cases, ZeroCRM is obliged to restore the original state and provide professional support necessary for damage mitigation.
Notification Obligation:
If ZeroCRM cannot fulfill the availability undertaken in the ToS due to the User's delayed information provision or other circumstances beyond ZeroCRM's control, it is obliged to notify the User immediately.
ZeroCRM is also obliged to immediately inform the User of any circumstances that hinder or slow service performance. If failure to fulfill the notification obligation results in decreased service level, the resulting liability rests with ZeroCRM.
3.1. Limitation of Liability
ZeroCRM assumes no liability for Users' behavior toward each other or third parties, and consequently has no indemnification obligation.
ZeroCRM is exempt from liability for any damage occurring in the User's computing equipment or other property during system use, login, or email opening – especially if damage is caused by computer virus or other similar technical factor. It is also not liable for service unavailability or slow operation if it results from the internet service provider's fault. ZeroCRM's liability is excluded for all damage resulting from improper, unlawful, or use contrary to ToS provisions. This includes if material benefits expected from using the service are not realized or not to the expected extent, or any loss occurs. However, this liability exclusion does not apply to damage resulting from ZeroCRM's intentional or grossly negligent behavior.
ZeroCRM is not liable for damage attributable to the User's own behavior – for example, for loss of personal or confidential data, partial or complete unusability of hardware or software, personal injury, or disadvantage resulting from failure to fulfill any obligation.
It is not ZeroCRM's task or responsibility to discover and correct Users' incorrect data entry or to handle resulting problems.
The entire content of the System and ZeroCRM Website (including but not limited to texts, data, images, videos, audio materials) – except materials uploaded by Users – constitutes ZeroCRM's exclusive intellectual property. Use of these in any form (printed, online, or otherwise) is only possible with ZeroCRM's prior written permission. Users may download or print the system and website materials only for their own individual purposes, but this does not authorize them to use the content commercially, reproduce, distribute, store in databases, or modify. Images on the website may only be used by third parties with express permission. Unauthorized use violates copyright and personality rights.
ZeroCRM also excludes liability for indirect damages and costs.
3.2. Liability for Damages
Considering the benefits specified in this contract and the amount of the fee, ZeroCRM assumes liability for damages up to a maximum of 1 (one) month's fee. This limitation does not apply if the damage is a consequence of intentional or grossly negligent behavior.
3.3. Conditions for Involving Subcontractors
ZeroCRM may use subcontractors during performance.
- It is liable for subcontractor performance regarding both quality requirements and deadlines as if it had performed the work entirely itself;
- ZeroCRM is obliged to check subcontractor activities and products involved in this service performance according to quality assurance standards applicable to its own activities;
- ZeroCRM ensures that its subcontractor operates in accordance with the business confidentiality undertaken by ZeroCRM.
4. User's Obligations
The User is obliged to accept ZeroCRM's contractual performance and pay the charged fee to ZeroCRM on time. The User is obliged to provide ZeroCRM with the cooperation necessary to fulfill this service.
5. Technical Requirements
The ZeroCRM SaaS (Software as a Service) CRM System is a web-based software service requiring Internet connection. The software can be accessed by logging in through the app.zerocrm.hu website.
5.1. Login Requirements
- Broadband internet connection;
- Current and one previous version of Microsoft Edge, Firefox, Google Chrome, Safari internet browsers. Browsers without manufacturer support are not supported;
- Computer capable of running the above internet browser;
- Knowledge of active email address and password;
- Only one login can occur simultaneously with the email address and password used for login.
5.2. Work Conditions
- Login requirements are met;
- User has paid current service fees, has no overdue debt to ZeroCRM.
5.3. Availability
ZeroCRM's goal is for the provided software's availability to reach 99% annually, meaning the service should be usable 24 hours a day for most of the year, but cannot guarantee this.
ZeroCRM reserves the right to perform periodic maintenance, about which it informs the User in advance.
ZeroCRM assumes no liability for availability outage resulting from unavoidable external causes (force majeure, internet or infrastructure provider fault, cyber attack), except if directly attributable to ZeroCRM's serious negligence.
5.4. Data Backup
ZeroCRM takes all reasonable IT and organizational measures to ensure that data stored in the system remains secure and is not lost in case of hardware failure, software failure, or environmental disaster.
Data stored in ZeroCRM is automatically backed up daily and weekly to a location physically separate from the data center serving the service, in encrypted form.
The purpose of backup is to enable data restoration to the last successful backup time in case of System collapse or data loss.
However, ZeroCRM assumes no liability for data loss occurring from causes beyond its control (e.g., user error, external attack, force majeure).
Daily backups do not qualify as archiving service. The User must report data restoration needs in writing; the possibility and timing of restoration depend on technical circumstances.
5.5. Managing Employee Access Rights
Management of employee System access rights is performed by the User with the designated User with Administrator Rights. The User has the possibility to add employees, modify existing employees' data and authorization levels, or delete employees.
The User is responsible for securely storing their own password. ZeroCRM assumes no liability for this or resulting damage.
6. Confidentiality
Business Secret Protection:
ZeroCRM commits to protecting and safeguarding, treating as confidential business secrets, the data, confidential data, information, confidential information, and documents that come to its knowledge during service performance, and makes every effort to ensure their proper protection.
Usage Limitations:
ZeroCRM and User may only use confidential data and confidential information for the purpose of service performance, and may only disclose information and data that come to their knowledge with the other party's prior written consent, except when disclosure is required by law.
ZeroCRM undertakes that all data and information provided based on these ToS qualify as business secrets, should be treated confidentially as such, and it is prohibited to bring them to third parties' knowledge or use them for purposes other than those specified in the ToS.
Validity:
The above confidentiality obligation remains in effect indefinitely during and after the service's existence for any reason.
Password Protection:
The User is fully responsible for all service use where access occurs through their password. The User bears full responsibility for keeping their password confidential.
Personal Data Processing:
ZeroCRM treats personal data provided by the User through voluntary data provision confidentially, uses it only for identifying individual Users, for service performance, and to the extent necessary for successful performance, according to § 13/A of Act CVIII of 2001 on certain issues of electronic commerce services and information society services. By concluding this contract, the User simultaneously gives consent to the use of their personal data as specified in this contract.
Data Deletion:
ZeroCRM is obliged to immediately delete data recorded by the User in the ZeroCRM system at the User's request. If the User does not request deletion, ZeroCRM stores data recorded by the User in the ZeroCRM system for 90 days after contract termination.
7. Using the Service in Public Places
If the User uses the ZeroCRM system in a public place (e.g., internet café, etc.), in addition to security measures implemented in the system, the User's cooperation is also necessary to protect data.
If there is a possibility that others can access the computer used by the User, it is recommended to perform the following security steps:
- Do not save your password on the login screen
- Do not allow storage of temporary internet files in the browser
- Check that no one is watching when entering your password
- Under no circumstances disclose your password
- If you feel unauthorized persons have learned your password, change it
- Never leave unattended a computer where ZeroCRM use is in progress
- Always exit the ZeroCRM system using the Logout button, not by closing the browser window
8. Data Protection
By accepting the ToS, the User simultaneously becomes acquainted with and accepts the provisions of the ZeroCRM Data Processing Policy. The Data Processing Policy is available at: https://zerocrm.hu/privacy-policy
8.1. Consent Statement for Personal Data Processing
Simultaneously with accepting these ToS, I give my voluntary and express consent to the processing of my own and my clients' personal data provided to ZeroCRM when creating the ZeroCRM account and later.
I may withdraw my consent to data processing at any time by the methods specified in the data processing policy, for example by sending a request to [email protected].
9. Force Majeure
Force majeure means any extraordinary event occurring after contract conclusion that makes its performance impossible, which the contracting parties could not foresee and could not prevent, and which is not attributable to either party's culpable behavior. Such events may include: state of emergency, strike, war, revolution, terrorist acts, natural disaster, fire, flood, epidemic, quarantine restrictions, transportation embargo, etc. In case of force majeure, both parties are exempt from the obligation to perform the contract.
In case of force majeure, service suspension may last for a maximum of 60 days. After this, either party is entitled to terminate the contract with extraordinary notice.
10. Cases of Contract Termination
Termination by User:
The User may terminate this contract in writing at any time without justification. The termination takes effect on the last day of the already started subscription period, meaning the contract terminates upon expiration of the currently paid subscription period. ZeroCRM does not refund the prepaid subscription fee in such cases – no time-proportional settlement occurs.
Access During Termination Period:
Termination does not automatically result in immediate system access termination: the User is entitled to continue using the ZeroCRM system with full functionality until the last day of the subscription period already started at the time of termination. System use is provided under unchanged conditions during this period.
Immediate Termination by ZeroCRM:
ZeroCRM may terminate the contract with immediate effect in the following cases:
- User is more than 30 days late with due service fee payment obligation;
- Force majeure exceeding 60 days;
- If User seriously violates contract provisions;
- If User exhibits behavior that harms ZeroCRM's – or individual Users' – legitimate interests, especially ZeroCRM's good reputation, or if their behavior results in continued contract maintenance being unreasonable for ZeroCRM;
- If it subsequently turns out that data provided by User during registration does not correspond to reality or ToS provisions;
- If User otherwise misleads ZeroCRM.
Data Export:
Contract termination can only occur in writing – by email sent to the affected party's email address. The owner of data recorded in the ZeroCRM system is the User, so in case of contract termination by either party, ZeroCRM makes the entered data available to the User free of charge in XLS format once the User settles their invoice. ZeroCRM provides the XLS export within 8 working days. The exported data structure is in standardized format according to system documentation.
The User is then entitled to use another operator's support, but cannot access the software source code. The parties fully settle accounts with each other upon contract termination.
11. Customer Service and Dispute Resolution
Customer Service Contact:
Users can contact ZeroCRM with any complaints, questions, or comments at the following contacts: [email protected], +36 1 700 1750.
Service Authorization Scope:
The User accepts that ZeroCRM customer service is only available to Users in their trial period or to active Users with active Systems; meaning those who have no fee debt, or if their System was suspended due to previous fee debt, only after suspension is lifted. ZeroCRM customer service may refuse to serve other persons. Users can contact ZeroCRM customer service by phone on weekdays between 9:00 AM and 4:00 PM.
Dispute Resolution:
ZeroCRM and User must do everything to resolve through direct negotiations any disagreement or dispute arising between them within or in connection with this contract. The parties are mutually obliged to immediately inform each other about any circumstances arising after contract conclusion that hinder contract performance.
Jurisdiction:
If the affected parties cannot resolve their legal dispute arising from or in connection with the contract within 30 days from starting the mentioned direct negotiations, the parties stipulate the exclusive jurisdiction of the Central District Court of Pest.
